Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Ikuna application and the website at ikuna.app (together, the “Service”), provided by Brainsoft Oy (“Brainsoft”, “we”, “us”), a company registered in Finland. By downloading, installing or using Ikuna, or by purchasing a subscription, you agree to these Terms. If you do not agree, do not use the Service.

1. License to use Ikuna

Subject to these Terms, Brainsoft grants you a limited, non-exclusive, non-transferable, revocable license to install and use Ikuna on macOS devices you own or control, for your personal use or internal business purposes. You may not resell, sublicense, reverse-engineer, or distribute the application except as permitted by applicable law.

2. Accounts and eligibility

You must be at least 16 years old, or the age of digital consent in your country, to use the Service. You are responsible for keeping any account credentials secure and for activity that occurs under your account.

3. Subscriptions, payments and renewals

Ikuna offers a free plan and a paid “Pro” plan billed monthly or yearly. All payments are processed by our reseller and Merchant of Record, Paddle.com. Paddle handles the transaction, issues your invoice and is responsible for collecting and remitting applicable taxes (including EU VAT). Your purchase is therefore also subject to Paddle’s buyer terms.

• Paid plans renew automatically at the end of each billing period until cancelled.
• You can cancel at any time; access to Pro features continues until the end of the period already paid for.
• Prices may change; we will give notice before any change affects a renewal.

4. Refunds

First-time purchasers are covered by a 14-day money-back guarantee. Subscription renewals are non-refundable except where a refund is required by applicable law. To request a refund, contact us at the address below or through Paddle.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what data we process and why. In the event of any conflict between these Terms and the Privacy Policy regarding data practices, the Privacy Policy controls. Pro users can opt out of analytics, telemetry and crash reporting via in-app controls.

6. Acceptable use

You agree not to use the Service for any unlawful purpose, to interfere with its operation, to attempt to gain unauthorized access to our systems, or to circumvent license or payment controls.

7. Intellectual property

Ikuna, its name, logo, and all related software and content are owned by Brainsoft and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

9. Limitation of liability

To the maximum extent permitted by law, Brainsoft shall not be liable for any indirect, incidental, special or consequential damages. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the 12 months preceding the claim or €100. Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory EU consumer protections.

10. Termination

We may suspend or terminate your access to the Service if you breach these Terms or engage in unlawful conduct. You may stop using the Service at any time by cancelling your subscription and uninstalling the application.

11. Governing law

These Terms are governed by the laws of Finland, and disputes shall be resolved by the competent courts of Finland, without prejudice to any mandatory consumer protection rights you may have in your country of residence within the EU.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by updating the effective date above. Continued use after changes take effect constitutes acceptance.
